Terms of Service
These terms govern use of VendorHub. They apply to customers who subscribe to the service and, in a more limited way, to suppliers who complete onboarding through it.

It describes how VendorHub is intended to handle information and should be reviewed and adapted by your own legal counsel before publication, particularly the sections on governing law, retention periods and data transfers.
Who these terms apply to
VendorHub is operated by eProcureAI. These terms apply to any organisation that subscribes to the service and to the individual users acting on its behalf. Suppliers invited to complete onboarding are not subscribers and are bound only by the sections that expressly refer to them.
Accounts and access
- You are responsible for the accuracy of the information used to set up your account
- You are responsible for the actions taken under accounts you create, including those of colleagues you invite
- Access is granted by role. You determine which roles exist in your workspace and who holds them
- You should remove access promptly when somebody no longer requires it
Acceptable use
You agree not to use VendorHub to:
- Break any applicable law, or help anybody else to do so
- Upload material you have no right to share, or that infringes somebody else's rights
- Attempt to gain unauthorised access to the service, other customers' data or the underlying systems
- Interfere with the operation of the service, including through automated activity that places unreasonable load on it
- Use information obtained through the service for a purpose unrelated to qualifying and managing your own suppliers
Your data and your suppliers' data

What the service does and does not do
VendorHub collects supplier information, reads submitted documents, screens suppliers against public lists and produces a qualification score summarising what those sources show.
VendorHub does not decide whether a supplier is acceptable. Approval, rejection and any decision about a screening finding are made by named people in your organisation, and the service records those decisions rather than making them. Nothing produced by the service is legal, tax or compliance advice, and the qualification score is a summary of available information rather than a guarantee about any supplier.
Availability and support
We aim to keep the service available and to give reasonable notice of planned maintenance. Any specific availability commitment applies only where it is stated in your agreement with us. From time to time we may change features, and we will not remove functionality you rely on without reasonable notice.
Fees
Fees, billing frequency and term are set out in your order or agreement rather than in these terms.
Suppliers
If you are a supplier completing onboarding at a customer's invitation, you use the onboarding portal free of charge. You agree that the information you provide is accurate to the best of your knowledge, and you understand that it is shared with the customer who invited you. Any question about how that customer uses your information should be directed to them.
Termination
- You may stop using the service in accordance with your agreement
- We may suspend access where use breaches these terms, and will tell you why
- On termination you can export your data, and deletion follows the timescales in your agreement
Liability
Nothing in these terms limits liability where it cannot lawfully be limited. Subject to that, the specific limitations and exclusions applying to your use are set out in your agreement with us.
Changes
We may update these terms. Where a change materially affects customers we will give notice rather than relying on this page being read.
